The Sustainability Project Terms of Use

By using https://www.tspproject.org/ web site ("Service"), you are agreeing to be bound by the following terms and conditions ("Terms of Use").

IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT USE THE SERVICE.

Violations of any of the terms below will result in the termination of your Account.

1. User Accounts

1.1 Your user account may only be used by one person. Login records are used to investigate any claim of unauthorized access. Shared user accounts defy your personal interest and the interests of the Organization you represent. Registration of a user account is free so please create as many user accounts as necessary for your productive use of the Service.

1.2 You are responsible for maintaining the security of your username and password. The Sustainability Project will not be liable for any loss of or changes to information recorded by you or other parties in relationship to the profile you create on https://www.tspproject.org/, or damages that result from your failure to comply with this security obligation.

1.3 You must not use the Service to carry on any illegal or unauthorized activities (including but not limited to copyright or trademark infringements).

2. Organization Accounts

2.1 By creating an Organization account, you certify that you are a representative of that Organization.

2.2 As a manager of an Organization profile, you certify that users you invite and grant permissions to, such as editing the Organization assessment, are also representative, or authorized to act on behalf, of that Organization with regards to the Organization profile on https://www.tspproject.org/.

2.3 At your sole discretion, you can share an Organization scorecard you manages with current and potential customers. You understand that deleting the Organization profile after a scorecard is shared will not delete the copy you shared.

3. Payment and Refunds

3.1 There is no fee to use the core functions on https://www.tspproject.org/. If you request The Sustainability Project to set up and customize the MyTSP function, there may be a fee charged for initial set up and a monthly or an annual fee charged for ongoing use of the function. In this event, you would be requested to enter a valid credit card to pay fees due.

3.2 There will be no refunds for payments of monthly usage fees.

4. Cancellation and Termination

4.1 You are solely responsible for canceling and deleting Profiles registered under your name on https://www.tspproject.org/. You can do so by navigating to the Profile you wish to delete and clicking on the associated “Delete” button. It is a simple no questions asked cancellation procedure An email or phone request to cancel an account is not considered cancellation.

4.2 If you decide to delete a Profile, the Content directly associated with that Profile will be immediately deleted from the Service. This information can not be recovered once it has been deleted.

4.3 The Sustainability Project, in its sole discretion, has the right to suspend or terminate a Profile at any time.

4.4 The Sustainability Project reserves the right to refuse service to anyone for any reason at any time.

5. Copyright and Content Ownership

5.1 We claim no intellectual property rights over the material you provide to the Service. Your materials uploaded to Service remain yours.

5.2 You shall defend The Sustainability Project against any claim, demand, suit or proceeding made or brought against The Sustainability Project in relationship to Content provided by you to the Service, including but not limited to claims that Content provided by you to the Service infringes or misappropriates the intellectual property rights of a third party or violates applicable laws.

5.3 You shall indemnify The Sustainability Project for any damages finally awarded against, and for reasonable attorney’s fees incurred by, The Sustainability Project in connection with any such claim, demand, suit or proceeding; provided, that The Sustainability Project

    (1) promptly provides you written notice of the claim, demand, suit or proceeding.
    (2) gives you sole control of the defense and settlement of the claim, demand, suit or proceeding (provided that you may not settle any claim, demand, suit or proceeding unless the settlement unconditionally releases The Sustainability Project of all liability).
    (3) provides to you all reasonable assistance, at your expense.

6. Privacy

6.1 We solely collect information used to provide and improve the Service, including but not limited to e-mail addresses.

6.2 We will not sell for profit, or otherwise share any personally identifiable information we collect to third-parties.

6.3 We may disclose personally identifiable information under special circumstances, such as to comply with subpoenas or when your actions violate these Terms of Use.

6.4 A cookie is a small amount of data, which often includes an anonymous unique identifier that is stored on your hard-drive by your browser and temporary authenticate you to the Service. Cookies are required to use the Service.

6.5 You understand that The Sustainability Project uses third party networks and devices to transmit, manipulate and store Content and your Profile information. The third party has cyber security processes in place to keep your Profile information private and secure. This notwithstanding, you understand that your Profile information is not invulnerable to evolving cyber security threats.

7. General Conditions

7.1 You use the Service at your own risk. The service is provided on an "as is" and "as available" basis.

7.2 You agree not to reproduce, duplicate, modify, sell or resell the Service without the express written permission by The Sustainability Project.

7.3 Do not hack into the Service or falsely imply that you are associated with the Service, The Sustainability Project, or any other The Sustainability Project service.
